The test the business has to pass, in one line
There is no minimum investment in law. What a consular officer applies is proportionality under 9 FAM 402.9-6(D) – is the capital substantial relative to the cost of this particular business – and non-marginality: the enterprise must have the present or future capacity to generate more than a minimal living for you and your family.
Note what non-marginality is not. It is not profitability. A business running at a loss while it scales can satisfy the test; a comfortably profitable one-person consultancy that will never support anyone else can fail it. That distinction is what should drive which business you buy, and it is the most common reason a sound-looking acquisition turns out not to work for E-2 purposes. Franchises
Acquiring or starting a franchise poses special issues. D&A’s corporate and immigration lawyers are experienced in guiding UK nationals through the relevant legal issues, which include, but are not limited to:
- Whether the franchisor will allow non-US residents to own a franchise.
- Whether there are overly onerous terms and conditions in the franchise agreement.
- Whether the terms of the franchise agreement allow you sufficient control over your business so as to qualify for E-2 visa purposes.
The third point is the one that decides E-2 cases. A consular officer must be satisfied that you develop and direct the enterprise. Franchise agreements that fix your pricing, your suppliers, your staffing and your hours can, taken together, undercut that – the question is not whether the franchise is a good business but whether you are genuinely the one running it.
